Terms of Service
Última actualización: October 23, 2026
Este documento está disponible en inglés.
These Terms of Service (the terms) are a binding agreement between you and the provider of Invenva named in section 1. They govern the Invenva apps for iPhone and iPad and for Android, the Invenva web app and the invenva.com website (together, the Service), and they are also the end user licence agreement for the Invenva apps. By creating an account, downloading an app or using the Service you accept these terms. If you do not accept them, do not use the Service.
1. Who we are
The Service is provided by Individual Entrepreneur Baran Yildiz, registered in Georgia (we, us).
Address: Bakhtrioni Street N22, Apartment N75, Saburtalo District, Tbilisi, Georgia. Email: support@invenva.com. Telephone: +995 595 076 843.
Please direct any question, complaint or claim about the app or the Service to this email address or telephone number; email reaches us fastest. The English version of these terms is the binding version, and any translation is provided for convenience only.
2. Who may use the Service
You must be at least 16 years old to use the Service, or older if the law where you live requires it. If you are under the age of majority where you live, you may use the Service only with the permission of a parent or guardian who accepts these terms for you. Invenva is made for running a business. If you use it on behalf of a company or another person, you confirm that you are authorised to accept these terms for them, and “you” then includes them. If you use the Service as a consumer, you keep every right that mandatory consumer law gives you, and nothing in these terms limits those rights.
3. The Service and your licence
Invenva is a tool for recording inventory: items, quantities, stock movements, counts, orders, lists and related notes, together with optional records of amounts owed and goods lent. It works as an app for iPhone and iPad, as an app for Android and as a web app in a browser; one account and its data work on all of them, and features may differ between them. We grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to use the Service in accordance with these terms. Each app is licensed to you, not sold, and all rights not expressly granted are reserved.
4. Your account and your workspaces
You must give accurate information, keep your Apple or Google sign-in secure and tell us at once if you believe your account has been used without your permission. You are responsible for everything done through your account and in the workspaces you own. Each workspace is controlled by the account that owns it: the owner decides who is a member, what each member may do, and whether the workspace and its data are kept or deleted, and is responsible for the people they invite and for what those people do there. Admins can manage members on the owner’s behalf. If the owner or an admin removes you, or the owner deletes a workspace, you lose access to its data.
We may send you messages about the Service and your account in the Service, as notifications and by email. Where the law allows, we may also send you news, tips and offers about Invenva; you can unsubscribe from them at any time.
5. Plans, subscriptions and billing
Invenva has a free plan and paid plans. What each plan includes and its limits, such as people, workspaces and items, are shown in the Service and on our website. We may change the free plan, the paid plans, their limits and their prices at any time.
The free plan and free trials are offered once per person: an email address, device or browser that has already used them continues the same allowance, also in a new account, and opening further accounts to get more free use is not allowed. We may raise, lower, reset or end the free allowance of any account at our discretion.
When an account reaches a limit of its plan, we may stop it from adding more, limit features or make its workspaces view only until it moves to a plan that fits or goes back under the limit.
A subscription belongs to the account that buys it and applies to the workspaces that account owns; members of those workspaces share its benefits while they are members. A subscription bought on one platform also works on the others. It may not be shared with, or used to run the inventory of, businesses that are not yours, and each person uses their own account. We may apply technical limits to abnormal or automated use.
In the iOS app, subscriptions are sold and billed by Apple through your Apple Account under Apple’s terms. The price and the length of each period are shown before you confirm. Payment is charged to your Apple Account when you confirm the purchase or, if you start with a free trial, when the trial ends. A subscription renews automatically for the same period unless auto-renewal is turned off at least 24 hours before the end of the current period, and your Apple Account is charged for the renewal within the 24 hours before the period ends. You can manage or cancel a subscription in your Apple Account settings; deleting the app or your Invenva account does not cancel it. Any unused part of a free trial ends when you buy a subscription.
On invenva.com, subscriptions are sold by Paddle, our reseller and merchant of record, and Paddle’s buyer terms apply to that purchase. A website subscription renews automatically until you cancel it, and a free trial turns into a paid subscription when it ends unless you cancel before then. You can cancel from the settings of the web app or from the link in Paddle’s receipt email. Taxes are shown at checkout and depend on where you are.
The Android app sells no subscriptions. You can change plans in the iOS app through Apple and on invenva.com on the same subscription, with any charge or credit worked out by Apple or Paddle. After you cancel, you keep your plan until the end of the period you already paid for.
6. Refunds and withdrawal
Refunds, cancellations and withdrawals follow our Refund Policy at invenva.com/refund, which is part of these terms. Apple alone decides on refunds of purchases made through Apple, and Paddle on refunds of purchases made on invenva.com. When you ask Apple for a refund, Apple may ask us about that purchase, and you consent to our answering, directly or through RevenueCat, with information about the purchase and your use of the Service and with our view on your request. You can withdraw this consent at any time by writing to support@invenva.com; withdrawing it does not affect your use of the Service. Nothing in these terms limits a right of withdrawal or refund that mandatory consumer law gives you.
7. Your content
The inventory data and other content that you and your team enter (your content) belongs to you or to the owner of the workspace. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display your content as needed to operate, provide, secure, support and improve the Service and to comply with the law. You alone are responsible for your content and for everything you and your team enter, share, send, export or print through the Service: for its accuracy and lawfulness, for having the right to use it and for keeping any copies you need. Information about how the Service is used belongs to us, and we may use aggregated or anonymised information that does not identify you or your business for any purpose. Deleted data may not be recoverable, and we are not required to restore it. Our Privacy Policy explains how we handle personal data.
8. Personal data you enter
When you enter personal data about other people, such as your customers, suppliers or staff, you are the controller of that data and we process it for you as your processor. You are responsible for having a lawful basis for recording it and for giving those people any information the law requires. For that data:
(a) we process it only to provide the Service as these terms describe, which are your documented instructions, unless the law requires otherwise, in which case we tell you first unless the law forbids it;
(b) everyone we authorise to process it is bound by confidentiality;
(c) we protect it with appropriate technical and organisational measures;
(d) you authorise our service providers, described in our Privacy Policy, as sub-processors; we bind them to data protection obligations at least as protective as these, we tell you of changes by updating our Privacy Policy, and if you object to a change you may stop using the Service and delete your data;
(e) taking into account the nature of the Service, we help you answer requests from the people concerned and meet your duties on security, breach notification, impact assessments and consultation with authorities;
(f) we tell you without undue delay after we become aware of a personal data breach affecting that data;
(g) when you delete the data, a workspace or your account, we delete the data as our Privacy Policy describes unless the law requires us to keep it, and before that you can export it where your plan allows or ask us for a copy; and
(h) we make available the information needed to show that we meet these obligations, and we allow and contribute to audits, which we will normally carry out by answering your written questions.
This processing lasts for as long as you keep the data in the Service and concerns the kinds of data and people you choose to record.
9. Records, not advice
Invenva computes stock values, profit, balances, loans, reports and alerts from what you and your team enter. These figures are informational records and are only as accurate as the entries behind them. They are not accounting, tax, legal, financial or inventory-control advice, and they are not contracts or evidence of debt. The papers you make in Invenva (quotes, delivery notes, sales receipts and sales summaries, orders, statements and, in some countries, invoices and credit notes) are documents you issue in your own name, from your own entries and business details. We are not responsible for issuing, checking or filing them, and unless a feature of the Service clearly says otherwise, none of them is a fiscal or electronic invoice, receipt or waybill registered with a tax authority. You alone are responsible for verifying figures before you act on them, for your bookkeeping and tax filings, for the documents you issue to customers and suppliers, including whether a paper meets the rules of your country, for keeping copies of them for as long as the law requires (deleting a workspace deletes its papers), for the labels and price tags you print, and for complying with the laws that apply to your business.
10. Offline use, sync and alerts
Changes you make without a connection are stored on your device and sent to the server when a connection returns. When several people change the same stock at the same time, or a device stays offline for a long period, entries may be merged in an unexpected order or rejected, and a quantity may differ from what is on the shelf until a stock count corrects it. Alerts and reminders, such as low stock, expiry, delivery and payment reminders, depend on your device, your browser, your notification settings and third-party delivery networks; we do not guarantee that any alert is delivered, or delivered on time, and you must not rely on alerts as your only safeguard.
11. Third-party services
The Service depends on services we do not control, including Apple, Google (Firebase, Google Play and Google Maps), Cloudflare, Paddle and RevenueCat, and on your device, browser and internet connection. We are not responsible for their availability, changes, errors or actions. Where you deal with them directly, for example in the App Store, on Google Play or in the Paddle checkout, their terms apply to that dealing, and you must comply with any third-party terms that apply to your use of the Service, such as your mobile data service agreement.
The Android app includes Google Maps features and content. Use of Google Maps features and content is subject to the then-current versions of the Google Maps End User Additional Terms of Service at https://maps.google.com/help/terms_maps/ and the Google Privacy Policy at https://policies.google.com/privacy.
12. Acceptable use
You may not use the Service for unlawful purposes; store or share content that is illegal, infringing or harmful; try to break, probe or bypass its security or its plan limits; access the data of users who did not invite you; overload, scrape or disrupt the Service or access it by automated means other than the features we provide; resell it or offer it to third parties without our written permission; or use or export it in breach of any export control or sanctions law. We may remove content or restrict features or accounts that break these rules, as described in sections 13 and 17.
13. Content decisions and reports
We may remove or restrict content, features or accounts that break these terms or the law, at our discretion, and decisions may be taken by people or with the help of automated tools. To report content you believe is illegal, write to support@invenva.com with where it is (for example the workspace and item), why you believe it is illegal, your name and email address (not required for reports of child sexual abuse material) and a statement that you believe in good faith that your report is accurate and complete. Where the law requires it, we tell the person concerned why we acted, and they can ask us to review the decision by writing to the same address. Authorities, including those of the Member States of the European Union, can contact us at the same address in English.
14. Feedback
If you send us ideas, suggestions or feedback, you agree that we may use them freely to improve the Service without any obligation to you.
15. Intellectual property
The Service, including its software, design, text and graphics and the Invenva name and logo, belongs to us or our licensors and is protected by intellectual property law. These terms give you no right to use our name, logo or branding. Except where the law expressly allows it or the licence of an open-source component permits it, you may not copy, modify, translate, decompile or reverse engineer the app or our systems, or create derivative works of them.
16. Changes to the Service
Invenva is under constant development. We may add, change, limit, suspend or remove features, plans and prices, or stop offering the Service, at any time and at our discretion, for example to improve it or for technical, security, legal or business reasons. Features may be offered as previews that can change or disappear.
17. Suspension and termination
You may stop using the Service and delete your account at any time in Settings. We may suspend or end your access, remove content, or delete an account and its data, at our discretion, if you break these terms, if we suspect unlawful, abusive or harmful use, if you do not pay, if the law requires it, or if your use creates a legal or security risk for us or for others. We may also delete free accounts that have not been used for a long time, together with their data. A suspension may also apply to the email address and the devices the account used, so that it cannot be avoided by opening a new account. What we keep afterwards is described in our Privacy Policy. Ending your access gives no right to a refund, except where the law or our Refund Policy provides one. Provisions that by their nature should survive the end of these terms survive it, including those on your content, personal data, records, feedback, intellectual property, warranties, liability, indemnity, the App Store terms, disputes and general terms.
18. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided as is and as available, without warranties of any kind, express or implied, including merchantability, satisfactory quality, fitness for a particular purpose, accuracy, non-infringement and uninterrupted or error-free availability. We do not warrant that the Service will meet your requirements or that data loss will never occur. If you are a consumer, this section does not affect the statutory rights that the law of your country gives you.
19. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, punitive or consequential damages, or for lost profits, lost revenue, lost goodwill, lost or inaccurate data, stock discrepancies, missed alerts, business interruption or the cost of substitute services, whatever the legal theory, even if we were told they were possible. To the maximum extent permitted by law, our total liability for all claims relating to the Service is limited to the amount you paid for the Service in the twelve months before the event giving rise to the claim, or 50 US dollars if you paid nothing. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or intentional misconduct, or any other liability that cannot be excluded or limited by law, including under the mandatory consumer protection law of your country of residence.
20. Indemnity
To the extent permitted by law, you will defend, indemnify and hold us harmless from claims, damages, losses and costs (including reasonable legal fees) arising from your content, anything you or the members of your workspaces do through the Service, your breach of these terms, or your violation of any law or of the rights of a third party, including your customers, suppliers and staff.
21. Apple App Store terms
If you downloaded the app from Apple’s App Store, the following also applies. If anything else in these terms conflicts with this section, this section prevails for the app.
(a) Acknowledgement. These terms are concluded between you and us only, and not with Apple. We, not Apple, are solely responsible for the app and its content. These terms do not provide usage rules for the app that conflict with the Apple Media Services Terms and Conditions or the Volume Content Terms.
(b) Scope of licence. Your licence to the app is a non-transferable licence to use it on any Apple-branded products that you own or control and as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions, except that the app may be accessed, acquired and used by other accounts associated with the purchaser through Family Sharing, volume purchasing or Legacy Contacts.
(c) Maintenance and support. We are solely responsible for providing any maintenance and support services for the app, as specified in these terms or as required under applicable law. You and we acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services for the app.
(d) Warranty. We are solely responsible for any product warranties, whether express or implied by law, to the extent they are not effectively disclaimed. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the app, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty are our sole responsibility.
(e) Product claims. You and we acknowledge that we, not Apple, are responsible for addressing any claims by you or any third party relating to the app or your possession and use of it, including but not limited to (i) product liability claims, (ii) any claim that the app fails to conform to any applicable legal or regulatory requirement, and (iii) claims arising under consumer protection, privacy or similar legislation. These terms do not limit our liability to you beyond what applicable law permits.
(f) Intellectual property rights. You and we acknowledge that, if a third party claims that the app or your possession and use of it infringes that third party’s intellectual property rights, we, not Apple, will be solely responsible for the investigation, defence, settlement and discharge of that claim.
(g) Legal compliance. You represent and warrant that (i) you are not located in a region that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” region, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
(h) Developer name and address. Any questions, complaints or claims about the app should be directed to Individual Entrepreneur Baran Yildiz, Bakhtrioni Street N22, Apartment N75, Saburtalo District, Tbilisi, Georgia, telephone +995 595 076 843, email support@invenva.com.
(i) Third-party terms. You must comply with applicable third-party terms of agreement when using the app, for example your mobile data service agreement.
(j) Third-party beneficiary. You and we acknowledge and agree that Apple and Apple’s subsidiaries are third-party beneficiaries of these terms, and that, upon your acceptance of these terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these terms against you as a third-party beneficiary.
22. Force majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including outages of third-party services, internet or power failures, natural disasters, epidemics, war, strikes, or acts of government.
23. Changes to these terms
We may change these terms at any time, for example when the Service, the law or platform rules change, or for business reasons. The current version is always at invenva.com/terms with its date. A new version applies from its date, unless it says otherwise. If you continue to use the Service after that, you accept the new terms; if you do not accept them, stop using the Service and delete your account.
24. Governing law and disputes
These terms are governed by the law of Georgia (the country), and the courts of Tbilisi, Georgia have jurisdiction over disputes about them. If you are a consumer, you also keep the protection of the mandatory law of the country where you live, you may bring proceedings in the courts there, and any claim against you is brought there where that law requires it. Before starting proceedings, you agree to write to support@invenva.com so that we can try to resolve the matter. To the extent permitted by law, claims must be brought individually and not as part of a class or representative action, and within one year after the claim arises.
25. General
These terms, together with the Refund Policy, are the entire agreement between you and us about the Service, and our Privacy Policy explains how we handle personal data. If any part of these terms is found unenforceable, the rest remains in effect and that part applies as far as the law allows. Our failure to enforce a provision is not a waiver of it. You may not assign these terms; we may assign or transfer them, for example to a successor in a merger, acquisition or sale of assets. We may send you notices in the Service or to the email address of your account. Apple and its subsidiaries are third-party beneficiaries as stated in section 21; there are no other third-party beneficiaries.
